If you are using Crivata on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Crivata is a business management platform designed for UK trade professionals. The Service includes tools for:

• Lead and customer management
• Estimating and quote creation
• Job scheduling and calendar management
• Invoicing and payment processing
• Customer communication
• Business automation features

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Account Registration

To use Crivata, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access

You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your account. Crivata is not liable for losses arising from unauthorised use of your account.

4. Acceptable Use

You agree to use Crivata only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal or unauthorised purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorised access to other accounts or systems

5. Your Data and Content

You retain ownership of all data and content you upload to Crivata ("Your Content"). By using the Service, you grant us a limited licence to use, store, and process Your Content solely to provide the Service to you.

You are solely responsible for:

• Ensuring you have rights to use and share any content you upload
• Complying with data protection laws regarding your customers' data
• Maintaining appropriate backups of your important data

We do not claim ownership of Your Content. You may export your data at any time through the features provided in the Service.

6. Subscription and Payments

6.1 Subscription Plans

Crivata offers subscription plans with varying features and pricing. Details of current plans and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

6.2 Payment Terms

Payment is processed through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. All fees are quoted in British Pounds (GBP) and are exclusive of VAT unless stated otherwise.

6.3 Refunds

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period. After this period, your access to paid features will be restricted.

The Service, including its original content, features, and functionality, is owned by Crivata and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your business purposes, subject to these Terms. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any proprietary notices or labels
• Use our trademarks, logos, or branding without permission

8. Third-Party Services

Crivata integrates with third-party services including payment processors (Stripe), calendar services (Google Calendar), and communication providers. Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services. By connecting third-party accounts, you authorise us to access and use your data from those services as necessary to provide the integrated features.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRIVATA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM:

• Your use of or inability to use the Service
• Any unauthorised access to or alteration of your data
• Any third-party conduct or content on the Service
• Any interruption or cessation of the Service

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Crivata and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• We may delete your account and associated data after a reasonable period
• Provisions of these Terms that by their nature should survive will remain in effect

You may request export of your data before termination takes effect by contacting us.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it later.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
